Terms of Service

ResaleStudio is provided by Resale Studio LLC (“we”, “us” or “our”). It lets online sellers connect their marketplace accounts — eBay and Etsy today — and manage listings, inventory and orders from a single place.

By creating an account or using ResaleStudio you agree to these terms and to our Privacy Policy, which is part of them. When you sign up we ask you to confirm that you have read and accepted both. If you do not agree, please do not use the service.

To use ResaleStudio you must:

• be at least 18 years old and able to enter into a binding contract;
• have the authority to accept these terms for any business, shop or organisation on whose behalf you use the service;
• hold your own marketplace accounts in good standing — ResaleStudio does not create them for you; and
• use the service only for lawful purposes and in line with each connected marketplace’s own terms.

We give you a limited, revocable, non-exclusive and non-transferable right to use ResaleStudio to manage shops that you own or are authorised to run. You may not share, sell or sublicense that access.

You are responsible for your account and for everything done through it. Keep your password confidential, do not let other people sign in as you, and tell us at info@resalestudio.com straight away if you think someone else has used your account.

Some plans have limits, such as the number of items you can keep in ResaleStudio. Any limit that applies to your account is shown in the app. We may change, suspend or withdraw features; for marketplace integrations, see Termination.

You agree not to use ResaleStudio to:

• break any law, or list items that a marketplace or the law prohibits;
• infringe anyone’s copyright, trademark or other rights;
• mislead buyers or marketplaces about who you are or what you are selling;
• access, or try to access, another seller’s account or data;
• collect or use buyers’ personal details for anything other than fulfilling their orders;
• run scripts, bots, scrapers or browser extensions against ResaleStudio or, through ResaleStudio, against a marketplace, beyond what the interface itself provides;
• get around rate limits, security measures or a marketplace’s policies;
• copy, reverse-engineer or interfere with the service or its infrastructure; or
• resell the service or offer it to others as your own.

We may suspend or close accounts that do any of these things.

You connect a marketplace by authorising ResaleStudio through that marketplace’s OAuth (Open Authorization) sign-in. The marketplace gives us an access token; we never see or store your marketplace password. You can disconnect a marketplace at any time from Settings, and you can also revoke ResaleStudio’s access in the marketplace’s own settings.

Each marketplace has its own terms, fees and policies, and you remain bound by them when you act through ResaleStudio. You are responsible for ensuring that the items you list on each marketplace comply with that marketplace's policies, including Etsy's Creativity Standards and Prohibited Items Policy.

You are also responsible for the content you publish — titles, descriptions, photos, prices, quantities, categories and shipping and return terms — and for fulfilling every order. ResaleStudio does not sell your items, take payment for them or ship them.

Marketplaces can change, limit or withdraw their API (application programming interface) at any time, and they may suspend your account or our access under their own rules. When that happens, the related features in ResaleStudio stop working until access is restored. We will tell you when we know, but we are not responsible for a marketplace’s decisions.

What ResaleStudio can do differs by marketplace, because each marketplace’s API allows different things. This is what the service does today. Marketplaces shown as “Coming soon” on our site cannot be connected yet, and no features are available for them.

Etsy

On Etsy, ResaleStudio supports:

• connecting your shop;
• syncing your listings into ResaleStudio when you choose to sync;
• creating draft listings that you publish from ResaleStudio;
• pushing changes to a listing’s title, description, price and quantity after you edit it;
• deactivating a listing, or adjusting its quantity, when an item sells elsewhere; and
• order history and analytics based on your Etsy orders.

Automation features (including sending offers, relisting, and sharing) are not available on Etsy. Etsy listings use Etsy's own auto-renewal setting, managed in your Etsy shop. ResaleStudio deactivates Etsy listings rather than deleting them, and it does not change a listing’s images on Etsy after the listing has been created. eBay

On eBay, ResaleStudio supports:

• creating fixed-price listings, editing them and ending them;
• importing your existing active listings;
• keeping quantities in step when an item sells on Etsy, and ending the listing when it sells out;
• importing your orders; and
• responding to buyers’ Best Offers by accepting or declining them.

ResaleStudio does not send offers to watchers, make counter-offers, relist ended items or manage promoted listings on eBay. See Selling on eBay with ResaleStudio for the details.

Timing and figures

Listing data in ResaleStudio reflects your most recent sync. Orders are imported, and quantities on the other marketplace updated, on a 30-minute schedule, so a sale can take up to about half an hour to show. Views and watch counts refresh every 12 hours. Fee and profit figures in analytics are estimates calculated from your synced orders; check your marketplace statements for the actual amounts.

Today, ResaleStudio’s only automated suggestion is an Etsy category. When a product has an eBay category but no Etsy category, an AI (artificial intelligence) model suggests one from the product’s title and eBay category. The suggestion is marked as automatic in the app and you can change it at any time.

Where ResaleStudio suggests listing details — categories today, and titles or descriptions if we add them later — you must review them before publishing. Suggestions can be wrong. You are responsible for the accuracy of every listing you publish, including the type of item, its condition and when it was made, and for making sure it complies with the marketplace’s policies.

You keep ownership of the content you put into ResaleStudio: titles, descriptions, photos, prices, SKUs and everything else about your products and shops. So that we can run the service, you give us permission to host, store, process and display that content and to send it to the marketplaces you connect. We use that permission only to provide the service to you.

You confirm that you have the rights to your content and that it does not infringe anyone else’s rights or break any law. We may remove content that violates these terms or the law.

If you send us ideas or feedback, we can use them to improve ResaleStudio without owing you anything, and without any obligation to keep them confidential.

ResaleStudio — the software, design, text, graphics and the ResaleStudio name and logo — belongs to Resale Studio LLC or its licensors. These terms do not give you any rights in it other than the right to use the service described above.

eBay, Etsy and the other marketplace names and logos that appear on our site are trademarks of their respective owners. ResaleStudio is an independent application. It uses the eBay and Etsy APIs under their developer terms, but it is not endorsed or certified by eBay, Etsy or any other marketplace.

We respect copyright and expect you to do the same. If you believe content on ResaleStudio infringes a copyright you own or represent, send a notice under the Digital Millennium Copyright Act (DMCA) to info@resalestudio.com with:

1. a description of the copyrighted work you say has been infringed;
2. where the material appears on ResaleStudio, in enough detail for us to find it;
3. your name, postal address, telephone number and email address;
4. a statement that you believe in good faith that the use is not authorised by the owner, its agent or the law;
5. a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorised to act for the owner; and
6. your physical or electronic signature.

We may remove or disable access to the material, tell the person who posted it, and close the accounts of repeat infringers. If you believe your content was removed by mistake, you can send a counter-notice to the same address.

Our Privacy Policy explains what we collect, what we access from the marketplaces you connect, how we protect it and the choices you have. It forms part of these terms. By connecting a marketplace you authorise us to access the data described there on your behalf, and only to provide the service to you.

ResaleStudio is currently free while in early access. There are no paid plans today, we do not charge for the service and we do not collect payment details.

Paid plans will be announced before they start. We will tell you what they include and what they cost, and you will never be charged unless you have first chosen a paid plan and agreed to its price. The free plan may have limits, such as the number of items you can keep; any limit that applies is shown in the app.

ResaleStudio depends on the marketplaces you connect and on the service providers named in our Privacy Policy, such as the companies that host our servers, deliver our emails and store product photos. Our site and app also link to marketplace websites and other third-party pages.

We do not control those services or sites, and we are not responsible for their content, availability or policies. Your use of a marketplace is governed by that marketplace’s own terms, not by these.

If someone brings a claim against us because of your content, the items you list or sell, your breach of these terms or of a marketplace’s policies, or your violation of the law or of someone else’s rights, you agree to defend us and to cover the resulting losses, costs and reasonable legal fees. We will tell you about any such claim and let you take part in the defence.

Etsy’s API Terms of Use require us to show you the following notice:

AND ITS AFFILIATES ARE NOT THE APPLICATION DEVELOPER, DO NOT PROVIDE THE APPLICATION SERVICE, AND MAKE NO WARRANTIES OF ANY KIND WITH RESPECT TO THE APPLICATION OR DATA ACCESSED THROUGH IT.

ResaleStudio is provided “as is” and “as available”. To the extent the law allows, we make no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.

In particular, we do not promise that the service will be uninterrupted or error-free, that syncs will be instant, or that the marketplace data shown in ResaleStudio is complete or current — it depends on what the marketplaces make available and on when you last synced. Some jurisdictions do not allow these exclusions, so some of them may not apply to you.

To the extent the law allows, Resale Studio LLC and its officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost sales, lost data, marketplace fees or penalties, or the suspension of a marketplace account, arising from your use of ResaleStudio — even if we were told such losses were possible.

Our total liability to you for all claims relating to the service will not exceed the amount you paid us for it in the twelve months before the event giving rise to the claim. Some jurisdictions do not allow these limitations, so some of them may not apply to you.

These terms are governed by the laws of [PLACEHOLDER: Governing law and venue], without regard to its conflict-of-law rules.

If you have a problem, please contact us first at info@resalestudio.com; most issues can be sorted out informally, and we will try to resolve yours within 30 days.

You can stop using ResaleStudio at any time. Disconnect your marketplaces in Settings, and email info@resalestudio.com to have your account deleted; we delete it within 30 days.

We may suspend or close your account if you breach these terms, if the law or a marketplace requires it, or if your use puts the service or other sellers at risk. Where we can, we will tell you why.

If we decide to withdraw a marketplace integration, we will give you at least 30 days’ notice by email and in the app before it stops working. If a marketplace itself revokes our access, we will tell you as soon as we know.

When your account ends, your marketplace access tokens are deleted and your data is handled as described in the Privacy Policy. The sections of these terms that by their nature should survive — including intellectual property, indemnification, the disclaimers and the limitation of liability — continue to apply.

• No partnership. These terms do not create a partnership, joint venture, agency or employment relationship between you and us.
• Severability. If any part of these terms is found unenforceable, the rest still applies.
• Electronic communications. You agree that we may send notices, agreements and other communications to the email address on your account and through the app, and that these satisfy any legal requirement that a communication be in writing.
• Entire agreement. These terms and the Privacy Policy are the whole agreement between you and us about ResaleStudio and replace any earlier agreements.
• No waiver. If we do not enforce a part of these terms, that does not mean we have given up the right to enforce it later.
• Assignment. You may not transfer your rights under these terms. We may transfer ours to a successor if the business is sold or reorganised.

We may update these terms as ResaleStudio changes. When we do, we will email the address on your account and show a notice in the app. Material changes take effect at least 14 days after we notify you; smaller corrections take effect when posted. The “Last updated” date at the top of this page tells you when the terms last changed.

If you keep using ResaleStudio after a change takes effect, you accept the updated terms. If you do not agree, stop using the service and ask us to delete your account.
